1. Introduction
Welcome to Deltaly.
These Platform Terms (“Terms”) govern your access to and use of the Deltaly platform, including the Deltaly Chrome extension, associated online services and supporting functionality (collectively referred to as “Deltaly”).
By creating a Deltaly account, signing in to the Chrome extension or otherwise using Deltaly, you enter into a legally binding agreement with Deltaly and agree to these Terms.
If you do not agree to these Terms, you must not use Deltaly.
These Terms govern the relationship between Deltaly and authorised members of dental teams using the platform.
They do not govern the relationship between dental practices and their patients. Patient memberships are subject to the applicable Membership Terms offered by the relevant dental practice.
2. Definitions
In these Terms:
Authorised User means a dentist, hygienist, therapist, dental nurse, receptionist, practice manager or other member of a dental team authorised by a subscribing practice to use Deltaly.
Chrome Extension means the Deltaly extension installed within Google Chrome.
Dentally means the third-party dental practice management software provided independently of Deltaly.
Membership Services means the functionality within Deltaly used by practices to administer patient membership plans and related payment administration.
Practice means the dental practice subscribing to or using Deltaly.
Subscription means an active paid or trial licence permitting access to premium Deltaly functionality.
Stripe means the payment platform used by Deltaly for subscription and membership payment processing.
3. About Deltaly
Deltaly provides software designed to help dental teams work more efficiently.
Depending on the services used, Deltaly may provide:
- workflow enhancements within Dentally;
- clinical workflow assistance;
- membership administration;
- payment administration through Stripe;
- integrations with authorised third-party services.
Deltaly is an independent software platform.
Deltaly is not affiliated with, endorsed by or operated by Dentally, Stripe or Google.
4. Eligibility
You may use Deltaly only if:
- you are authorised to access the relevant Dentally account and information;
- you comply with these Terms;
- you provide accurate account information;
- you maintain any subscription required for the services you use.
Where a practice subscription is in place, the practice is responsible for determining which members of its team are authorised to use Deltaly.
5. Accounts and Authentication
Deltaly uses passwordless authentication wherever reasonably practicable.
Authentication is generally completed using one-time verification codes sent to your registered email address.
To protect users and practices, Deltaly may apply different authentication requirements depending on the sensitivity of the action being performed.
For example:
- routine actions may rely on existing authenticated sessions, trusted devices or licence validation;
- higher-risk actions, such as changing account information, linking accounts or managing subscriptions, may require a new email verification.
You are responsible for:
- maintaining the security of your email account;
- ensuring your contact information remains accurate;
- notifying Deltaly if you become aware of unauthorised access to your account.
Deltaly may retain authentication metadata, trusted-device information and security logs for fraud prevention, account protection and platform security.
6. Chrome Extension and Dentally Integration
The Deltaly Chrome extension operates alongside Dentally and enhances workflows for authorised users.
The extension may access information available through your authenticated Dentally session or authorised Dentally API connections where necessary to provide requested functionality.
Deltaly has been designed in accordance with Privacy by Design principles.
Wherever reasonably practicable, patient-identifiable clinical information is processed locally within the user’s browser. Deltaly is designed to minimise the transmission and storage of patient-identifiable clinical information on Deltaly systems.
The extension may temporarily store operational information locally within the browser, including user preferences, trusted-device information and temporary cached data required for the current browsing session.
Deltaly relies upon functionality provided by Dentally.
Changes made by Dentally, including changes to its user interface, APIs or other services, may affect the operation of Deltaly.
Where we become aware that changes to Dentally have affected Deltaly, we will make reasonable efforts to investigate and restore affected functionality as soon as reasonably practicable.
However, because Deltaly depends upon third-party systems outside our control, we cannot guarantee uninterrupted compatibility with every future change made by those systems.
7. Subscriptions and Licensing
Some Deltaly features are available only to users or practices with an active subscription, trial or other valid licence.
Subscriptions may apply to an individual user, a practice or another licensing arrangement offered by Deltaly.
Practices are responsible for ensuring that only appropriately authorised users access services provided under a practice subscription.
Where appropriate, Deltaly may associate multiple authorised Dentally identities with a single Deltaly account, for example where a clinician works across multiple practices or has multiple authorised Dentally accounts.
You must not:
- attempt to bypass or interfere with Deltaly’s licensing, authentication or subscription mechanisms;
- create additional accounts for the purpose of circumventing subscription restrictions;
- knowingly share authenticated access with another person;
- attempt to interfere with the security or operation of Deltaly;
- reverse engineer, modify or exploit Deltaly except where such rights cannot lawfully be excluded under applicable legislation.
Deltaly may suspend or terminate access where licensing or authentication mechanisms are deliberately circumvented or misused.
8. User Responsibilities
As an Authorised User, you are responsible for ensuring that your use of Deltaly is lawful, professional and consistent with these Terms.
You agree to:
- use Deltaly only where you are authorised to access the relevant Dentally account, patient information and practice systems;
- maintain accurate account information;
- keep your email account secure;
- comply with your practice’s policies and procedures when using Deltaly;
- use Deltaly only for legitimate professional purposes;
- use clinical functionality only where you are appropriately trained, competent and professionally authorised to perform the relevant clinical activity;
- check any generated or assisted clinical documentation and prescription content for accuracy and appropriateness before it is completed, saved or issued;
- promptly report suspected defects, errors or unexpected behaviour that could affect the safe or reliable operation of Deltaly;
- not include patient-identifiable information in Deltaly support tickets or other fields that are not intended for patient or clinical information;
- promptly report any suspected security incident or unauthorised access affecting your Deltaly account.
You must not:
- knowingly access information you are not authorised to access;
- attempt to interfere with the security, integrity or availability of Deltaly;
- use Deltaly to circumvent restrictions imposed by Dentally or other third-party systems;
- upload malicious software or intentionally misuse the platform;
- knowingly provide false or misleading information to Deltaly.
9. Practice Responsibilities
Where a Practice subscribes to Deltaly or enables Membership Services, the Practice remains responsible for the dental services it provides and for the information it makes available through Deltaly.
The Practice is responsible for:
- ensuring that only authorised members of the dental team use Deltaly;
- maintaining accurate practice information;
- maintaining accurate membership plans, pricing, descriptions and included services;
- ensuring integrations with Dentally and Stripe remain appropriately configured;
- determining the clinical content of membership plans;
- deciding whether any examination, hygiene appointment, treatment or additional service is clinically appropriate for an individual patient;
- complying with the legal, regulatory and professional obligations that apply to the dental services and membership plans it offers;
- ensuring communications sent to patients through Deltaly are accurate and appropriate.
Where clinical safety standards or other local clinical risk management requirements apply to a Practice’s deployment or use of Deltaly, the Practice remains responsible for completing the clinical safety activities applicable to its own deployment and use. Deltaly may provide clinical safety documentation and deployment-support materials to assist the Practice with those activities.
Where a Practice provides patient memberships through Deltaly, it remains responsible for honouring the services included within those memberships in accordance with its published Membership Terms.
10. Data Protection
Deltaly may also process limited personal information as a controller where necessary to operate, secure and administer the Deltaly platform, as described in the Deltaly Privacy Notice.
Each party will comply with the data protection laws applicable to its use of Deltaly.
Where Deltaly processes personal information on behalf of a Practice, including patient information processed in connection with Membership Services, the Practice acts as controller and Deltaly acts as processor.
That processing is governed by the Deltaly Data Processing Agreement, which forms part of the agreement between Deltaly and the Practice.
11. Membership Services
Deltaly provides software to enable Practices to create, publish and administer patient membership plans.
Deltaly does not determine:
- membership pricing;
- membership benefits;
- treatment intervals;
- recall intervals;
- the clinical suitability of any service;
- whether a patient should receive any particular treatment.
Those decisions remain entirely the responsibility of the Practice and the treating clinician.
Where a Practice chooses to offer memberships through Deltaly, it is responsible for ensuring that the information presented to patients is accurate and kept up to date.
12. Payment Processing
Membership payments are processed securely by Stripe.
The dental Practice is intended to be the merchant or business of record for patient membership payments.
Depending on the payment flow and Stripe Connect configuration, Deltaly may administer payment processing on behalf of the Practice, including:
- creating and managing subscriptions;
- processing recurring payments;
- processing refunds where appropriate;
- administering payment disputes;
- managing payment transfers between Stripe accounts;
- communicating payment status to the Practice and patient.
Deltaly does not store patients’ payment card or Direct Debit details.
Payment credentials and Direct Debit mandates are handled directly by Stripe in accordance with Stripe’s own terms and privacy documentation.
13. Stripe and Third-Party Integrations
Dependence on Third-Party Services
Deltaly relies upon third-party services, including Dentally and Stripe, to provide many of its features.
These services are operated independently of Deltaly and may change, restrict or withdraw functionality, interfaces, APIs, access permissions or terms of use at any time and without notice.
Accordingly:
- features available today may be modified, restricted or become unavailable in the future;
- changes made by Dentally, Stripe or other third-party providers may temporarily or permanently affect the operation of Deltaly;
- features may need to be withdrawn, replaced or redesigned where they are no longer technically, legally or commercially practicable.
Examples include, but are not limited to:
- changes to Dentally’s user interface, APIs or functionality;
- withdrawal or restriction of third-party functionality;
- changes to third-party terms of service or security requirements;
- Dentally access or API permissions being revoked;
- Stripe Connect being disconnected;
- security incidents affecting integrated services.
Where reasonably practicable, Deltaly will investigate issues caused by changes to third-party services and will endeavour to restore, replace or adapt affected functionality.
However, Deltaly cannot guarantee that every feature will continue to be available indefinitely, nor that functionality removed or restricted by a third party can be restored or replaced.
Where changes to third-party services affect active patient memberships, Deltaly may take reasonable steps to protect patients, Practices and the integrity of the platform. These steps may include:
- preventing new patient enrolments;
- suspending new payment collections;
- restricting administrative functionality;
- cancelling memberships immediately or at the end of the current billing period, where continued administration is no longer reasonably possible; and
- notifying affected Practices or patients where appropriate.
Where reasonably practicable, Deltaly will work with the Practice to support an orderly offboarding process and minimise disruption to patients.
Deltaly is an actively developed platform and may also introduce, modify or withdraw features in response to user feedback, changes in technology, changes to third-party services, legal or regulatory requirements, or other operational considerations.
By using Deltaly, you acknowledge that the platform depends upon third-party services outside Deltaly’s control and that changes made by those services, or by Deltaly in response to those changes, may require features to be modified, suspended or permanently withdrawn.
14. Availability and Updates
Deltaly is provided as an evolving software platform.
We continually improve the platform by:
- introducing new features;
- improving existing functionality;
- fixing defects;
- improving security;
- responding to changes in integrated third-party services.
We may modify, replace or withdraw features where necessary.
While we aim to provide a reliable service, Deltaly is provided on a reasonable endeavours basis and uninterrupted availability cannot be guaranteed.
Scheduled maintenance, emergency maintenance and events outside Deltaly’s reasonable control may temporarily affect availability.
15. Clinical Responsibility
Deltaly is designed to support administrative and clinical workflows.
Deltaly may provide clinical reference information and workflow assistance. It does not replace professional judgement or make clinical decisions on behalf of the treating clinician.
Deltaly does not replace the treating clinician’s professional judgement or responsibility for clinical decisions
This includes responsibility for:
- diagnosis;
- treatment planning;
- prescriptions;
- interpretation of patient records;
- determining whether any treatment or service is clinically appropriate;
- deciding whether membership benefits or optional extras should be provided to an individual patient.
Deltaly maintains clinical risk management processes for clinically relevant functionality and may provide clinical safety documentation describing identified hazards, controls and residual risks. Practices and clinicians must take account of relevant safety information provided with Deltaly when deploying and using the platform.
Clinicians should always exercise their own professional judgement and verify information before relying upon it in patient care.
